These Terms and Conditions govern your use of the UnGuise website, related websites, digital experiences, and any products, services, content, communities, or applications made available by or on behalf of UnGuise through them.

Please read these Terms and Conditions carefully before using our services. By accessing or using our website, app, community spaces, or related services, you agree to be bound by these Terms and Conditions. If you do not agree to them, you should not use our services.

If you are using a particular product, app, event, programme, community space, or paid offering, additional terms may also apply. Where that happens, those additional terms will apply alongside these Terms and Conditions and will take priority to the extent of any inconsistency.

3. Eligibility

You must only use our services if you can lawfully enter into a binding agreement under the law that applies to you.

If you are under the age of 18, you should only use our services with the involvement of a parent or guardian where appropriate.

If a particular service, feature, event, or community space has a minimum age requirement, you must meet that requirement before using it.

4. Changes To These Terms

We may update these Terms and Conditions from time to time to reflect changes to our services, technology, business operations, legal obligations, or risk profile.

The latest version will always be posted on the relevant website with the latest update date shown at the top.

By continuing to use our services after updated terms come into effect, you agree to the revised Terms and Conditions.

5. Changes To Our Services

We may change, suspend, withdraw, or discontinue any part of our services at any time.

We do not guarantee that any particular website, feature, piece of content, product, programme, or app functionality will always be available, uninterrupted, or error-free.

Where reasonably possible, we will aim to provide appropriate notice of material changes, suspensions, or withdrawals, but we may not always be able to do so.

6. Accounts and Account Security

Some parts of our services may require you to create an account.

You must provide accurate, current, and complete information when creating an account and keep your details up to date.

You are responsible for maintaining the confidentiality of your login details and for activities carried out through your account, unless caused by our failure to take reasonable care.

You must notify us promptly if you believe your account has been accessed without authorisation or your login details have been compromised.

We may suspend or disable an account where we reasonably believe there has been a breach of these Terms and Conditions, misuse of the service, unlawful activity, or a security issue.

You must use our services lawfully, fairly, and responsibly.

You must not:

  • use our services for unlawful, fraudulent, abusive, or harmful purposes

Where community features are available, you are responsible for the content you post and for your conduct within those spaces.

8. Community Spaces

If you participate in an official UnGuise community space, including any official Discord-based community where applicable, you must also follow any community guidelines, moderation rules, or platform-specific rules that apply.

We may remove content, restrict participation, mute accounts, or suspend access to community spaces where we reasonably consider it necessary to protect users, enforce standards, respond to complaints, or reduce legal or security risk.

Third-party community platforms, including Discord, apply their own terms, privacy practices, and enforcement processes to the services they control.

9. User Content

If you submit, upload, post, share, or otherwise make content available through our services, you confirm that you have the right to do so and that your content does not breach the law or these Terms and Conditions.

You retain ownership of your content unless separate terms state otherwise.

By submitting content through our services, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, adapt, and use that content only to the extent reasonably necessary to operate, improve, moderate, promote, and provide the relevant service.

We may remove or restrict access to user content where we reasonably believe it breaches these Terms and Conditions, infringes rights, creates risk, or is otherwise inappropriate.

10. Intellectual Property

Unless otherwise stated, all intellectual property rights in our websites, apps, branding, text, graphics, layouts, audio, video, software, and other content are owned by us or licensed to us.

You may access and use our services for your personal, non-commercial use, subject to these Terms and Conditions.

You must not copy, reproduce, distribute, modify, republish, sell, license, reverse engineer, scrape, or exploit any part of our services or content except where the law permits or where we have given written permission.

Nothing in these Terms and Conditions transfers ownership of our intellectual property rights to you.

11. Digital Content and Downloads

Where we provide digital content, downloads, app access, or other digital services, we will aim to describe them accurately and provide them with reasonable care and skill where the law requires that standard.

Where digital content is paid for by a consumer, UK law gives certain rights, including that digital content should be of satisfactory quality, fit for purpose, and as described.

Nothing in these Terms and Conditions is intended to limit or exclude any non-excludable rights you may have under applicable consumer law.

12. Paid Products And Services

If we offer paid products, subscriptions, memberships, workshops, courses, events, programmes, or digital content, the price and key commercial terms will be shown before you commit to purchase.

You must ensure that the information you provide for payment, billing, and delivery is accurate and complete.

Unless stated otherwise, fees are payable in advance and are non-refundable except where required by law, where expressly stated in a specific refund policy, or where we agree otherwise in writing.

If a recurring subscription is offered, the billing frequency, renewal basis, cancellation method, and any minimum commitment period should be clearly disclosed before sign-up.

13. Cancellation and Cooling-Off Rights

If you are a consumer and you buy goods, services, or digital content online, you may have statutory cancellation rights depending on what you purchased and how it is supplied.

In the case of digital content supplied immediately, the right to cancel can be lost once supply begins, but only where the required pre-contract information has been given and the consumer has expressly agreed and acknowledged this.

Any service-specific or product-specific cancellation terms should be presented clearly at the point of purchase and will apply in addition to these Terms and Conditions.

14. Faults, Problems, And Remedies

If paid digital content or a paid digital service supplied by us does not meet the standards required by law, you may have legal remedies.

Depending on the circumstances, these may include repair, replacement, price reduction, refund, or repeat performance, subject to the applicable legal framework and the nature of the product or service provided.

Nothing in these Terms and Conditions affects those statutory rights.

15. Promotions, Early Access, And Beta features

From time to time, we may offer promotions, limited releases, test programmes, invite-only access, or beta features.

Unless stated otherwise, beta or test features are provided on an as-available basis for evaluation and development purposes and may contain bugs, interruptions, or incomplete functionality.

We may modify or withdraw such features at any time.

16. Third-Party Services And Links

Our services may contain links to third-party websites, platforms, tools, marketplaces, payment providers, app stores, social platforms, or other external services.

We are not responsible for the content, availability, security, terms, or privacy practices of third-party services that we do not control.

Your use of third-party services is governed by the terms and policies of those third parties.

17. Privacy and Data Protection

Our collection and use of personal data is explained in our Privacy Policy and, where relevant, our Data Deletion Policy.

Where third-party providers process personal data on our behalf, we expect them to act under appropriate contractual and legal controls, but third-party platforms acting as their own controllers will handle data under their own policies.

You should read our Privacy Policy carefully before using services that involve personal data.

18. Service Availability And Technical Issues

We provide our services using reasonable care, but we do not promise that the services will always be available, uninterrupted, secure, or free from errors.

Access may be affected by maintenance, updates, third-party outages, technical failures, security events, or matters beyond our reasonable control.

You are responsible for ensuring that your device, software, and internet connection are suitable for accessing our services.

19. Liability

Nothing in these Terms and Conditions excludes or limits liability where it would be unlawful to do so.

This includes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to the paragraph above, we exclude liability for indirect or consequential loss to the fullest extent permitted by law.

Subject to the paragraph above, where you use the services as a consumer, these Terms and Conditions do not remove your statutory rights, and where you use the services for business purposes, our liability to you for losses arising out of or in connection with the services will be limited to the extent permitted by law.

If you are a consumer, nothing in these Terms and Conditions is intended to make unfair exclusions or restrictions, and these Terms and Conditions should be read accordingly.

20. Indemnity For Business Users

If you use our services in the course of a business, trade, or profession, you agree to indemnify us against losses, liabilities, costs, and expenses reasonably suffered or incurred as a result of your breach of these Terms and Conditions, misuse of the services, or infringement of the rights of a third party.

This clause does not apply to consumers.

21. Suspension And Termination

We may suspend, restrict, or terminate your access to all or part of our services where we reasonably believe:

  • you have breached these Terms and Conditions

  • you have created legal, regulatory, security, or reputational risk

  • your use is fraudulent, abusive, or unlawful

  • suspension is needed to protect users, systems, content, or operations

Where appropriate, we may investigate suspected misuse and take proportionate action.

You may stop using our services at any time.

Where account deletion is available, the process for requesting deletion will be explained in our Data Deletion Policy or in the relevant service flow.

22. Complaints And Contact

If you have a complaint about our services, please contact us using the contact details published on the relevant website.

We will try to review complaints fairly and within a reasonable time.

If you are a consumer, you may also have access to statutory remedies and dispute resolution routes where applicable.

23. Severability

If any provision of these Terms and Conditions is found to be unlawful, invalid, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.

24. No Waiver

If we delay or do not enforce any right under these Terms and Conditions, that does not mean we have waived that right.

25. Transfer

We may transfer or assign our rights and obligations under these Terms and Conditions as part of a business reorganisation, sale, merger, asset transfer, or similar corporate event, provided that doing so does not reduce any consumer rights that cannot lawfully be removed.

You may not transfer your rights or obligations under these Terms and Conditions without our prior written consent, unless the law allows otherwise.

26. Governing Law And Jurisdiction

These Terms and Conditions are governed by the law of England and Wales. If you are a consumer, you may also benefit from any mandatory provisions of the law of the country in which you live. The courts of England and Wales will have jurisdiction, except where applicable consumer law allows you to bring proceedings in the courts of your place of residence.
